Terms of Service

These Terms of Service (“Terms”) govern your use of the Xpanse Business Health Assessment (the “Service”) provided by Xpanse (“Xpanse,” “we,” “us”). By connecting your accounting software or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
The Service
The Service connects to your QuickBooks Online or Xero account with read-only access, analyzes your accounting data, and returns an automated Business Health Assessment. We never create, modify, or delete anything in your books and never move money.
Not professional advice; not an audit
The assessment provides automated indicators based on the data available in your accounting software. It is not an audit, review, attestation, or other assurance engagement, and it is not accounting, tax, financial, or legal advice. It may be incomplete or inaccurate where the underlying data is incomplete or inaccurate. You should not rely on it as a substitute for professional judgment, and you should consult a qualified professional before making decisions. Any consultation offered through the Service is introductory and does not create a professional-client relationship unless separately agreed in writing.
Your account and authority
You represent that you are authorized to connect the accounting account you link and to share its data with us for the purpose of generating the assessment. You are responsible for maintaining the security of your own accounting credentials.
Acceptable use
You agree not to:
- Use the Service in violation of any law or the terms of Intuit or Xero;
- Connect an account you are not authorized to access;
- Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Service; or
- Copy, resell, or reverse-engineer the Service or its outputs except as permitted by law.
Third-party services
The Service relies on third parties including Intuit (QuickBooks Online), Xero, and our scheduling provider. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.
Intellectual property
The Service, including its software, reports, scoring, and branding, is owned by Xpanse and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service and to use the assessment we provide for your own internal business purposes. Your accounting data remains yours.
Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that the assessment will be complete or accurate.
Limitation of liability
To the fullest extent permitted by law, Xpanse will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed one hundred U.S. dollars (USD $100).
Termination
You may stop using the Service at any time and revoke our access from your QuickBooks or Xero settings. We may suspend or terminate access to the Service at any time, including for violation of these Terms.
Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
Governing law
These Terms are governed by the laws of the State of [State], without regard to its conflict-of-laws rules, and any dispute will be subject to the exclusive jurisdiction of the courts located there.
